EDYSL CONSTITUTION
ARTICLE 1 - NAME The name of this Club shall be East Diablo Youth Soccer League, AKA: Impact Soccer Club. Hereinafter referred to as, the Club….
ARTICLE 2 - BOUNDARIES AND TERRITORIES The territory of the Club shall be within the City limits of Brentwood, Discovery Bay, Oakley, and nearby unincorporated surrounding areas.
ARTICLE 3 - PURPOSE The purpose and objectives of the Club shall be to develop, promote and administer the game of soccer among youth (boys and girls under nineteen (19) years of age), regardless of race, creed, and/or ability within the territory the Club.
ARTICLE 4 - COLORS Colors of the Club are Green, Black and White|
ARTICLE 5 - AFFILIATION The Club shall be an affiliated branch of the and comply with the authority of the United States Soccer Federation (USSF) the United States Youth Soccer Association (USYSA), California Youth Soccer Association (CYSA), and US Club Soccer.
ARTICLE 6 - AUTHORITIES 1. The Club shall be governed by its Constitution, By-Laws, General Procedures and PIMs except when these are superseded by US Club Soccer, CYSA, USYSA, and/or USSF. 2. The governing authority of the Club, whose powers shall be designated in the By-Laws, shall be vested with the Board of Directors of the Club. 3. The Board of Directors shall be composed of a minimum of the President, Vice President, Secretary, and Treasurer. The Board of Directors of the Club consists of elected members serving 2-year terms in the following positions: President and Secretary are elected in one year while the Vice President and Treasurer are elected in the alternate years. All other identified board positions are elected annually and are held as a one year term. The election of officers is held at the AGM, with the Board of Directors submitting a nomination for each position as announced on the club web page, or in a separate notification to membership. Additional nominations are solicited from the general membership of the club, and must be submitted in writing, with written acknowledgment of the nominee 15 days prior to the Club's Annual General Meeting. The election is then held at the Club's Annual General Meeting, with each currently registered member unit having one (1) vote. At present, these are the appointed voting positions: Vice President, Treasurer, Secretary, Director of Coach and Player Development, Communication Director, Fields Director, Director of Officiating and Registrar. The Board may, from time to time, add, delete, or combine Board positions as conditions warrant but limits the voting board position to no more than 10 members.
ARTICLE 7 - MEMBERSHIP 1. Member Unit in the Club consists of parent(s)/guardian(s) of registered player(s), only one vote per Member Unit is permitted. 2. All member teams, players, coaches, parents, referees shall abide by the Constitution, By-Laws, General Procedures and PIMs of the Club as set forth by the Board of Directors, and with all applicable rules and regulations of the associations with which the Club is affiliated. 3.The Board of Directors, by a 2/3 vote, may revoke the membership, ,suspend, bar completely or otherwise discipline any player, coach, manager, team assistant, parent or referee with the proper hearing.
ARTICLE 8 - ANNUAL MEETING 1. Toward the end of each playing season, the President of EDYSL, with the concurrence of the Board of Directors, shall call a general meeting of the membership, to be held at least 30 days prior to the Annual General Meeting of CYSA. Notification to member units shall be provided at least 30 days prior to said EDYSL Annual General Meeting. 2. The order of business at the general meeting shall be as follows: A. Call to Order B. Roll Call C. Credentials Report D. Introduction of Guests E. Acceptance of Minutes of the previous EDYSL Annual General Meeting F. Unfinished Business G. Reports 1. President 2. Vice President 3. Treasurer 4. Secretary 5. Director of Coach and Player Development 6. Division IV Associate Director of Coach and Player Development 7. Communications Director 8. Director Officiating 9. Fields Director 10. Selected Operational Positions 11. Committee Reports H. New Business I. Membership Vote on Changes to the Constitution, Bylaws or PIMs J. Election of Officers K. Good of the Game L. Adjournment 3. Each registered Member Unit and each voting member of the Board of Directors shall be entitled to one (1) vote. Voting shall be restricted to those Member Units, which have been registered during the current season. Only those members of record in good standing shall be entitled to voting privileges. The President of EDYSL shall cast a vote only in the situation of a tie.
ARTICLE 9 - CHANGES 1. Amendments to the Constitution of EDYSL shall be made at the EDYSL Annual General Meeting of the membership, except in such cases as specified in the By-Laws of EDYSL. 2. An amendment to the Constitution shall be deemed adopted by an affirmative vote of two-thirds (2/3) of the voting members present at the EDYSL Annual General Meeting. 3. Changes in the By-Laws, General Procedures and Policy Interpretation Memoranda (PIM) shall be adopted as needed by a majority vote of the Board of Directors.
